1. Who We Are and How You Accept This Agreement

We are Deepsel Inc. ("Deepsel," "we," "us," "our"), a Delaware corporation at 2810 N Church St STE 89507, Wilmington, DE 19802, United States. We run the Deepsel Partner Program (the "Program"), which pays commissions for referring new customers to our maintenance-agreement software at usedeepsel.com and app.usedeepsel.com (the "Service").

"You" or "Partner" means the person or business that applies to the Program. If you apply on behalf of a company, you confirm that you are authorized to bind it. You must be at least 18 years old and legally able to enter into contracts.

You accept this Agreement by checking the acceptance box on the Program application and submitting it. Your participation is also subject to our approval (section 3). If you do not agree with this Agreement, do not apply.

This Agreement is separate from our Terms of Use, which govern use of the Service by customers, and from our Privacy Policy, which explains how we handle personal information, including yours. If you are both a Partner and a customer, both agreements apply to you in those respective roles. Our Partner Disclosure Guide is part of this Agreement.

2. The Program Runs on Rewardful

We operate the Program on Rewardful, a third-party affiliate platform. Your application, dashboard, referral links, statistics, and payout details live at deepsel-inc.getrewardful.com. Rewardful's own terms and privacy policy apply to your use of its website. We receive the information you enter there and handle it under our Privacy Policy.

Tracking works through a cookie set in the visitor's browser when they click your link. We do not guarantee attribution where cookies are blocked, cleared, or expired, where the visitor signs up on a different device or browser, or where tracking is otherwise interrupted for reasons outside our control.

3. Applying and Approval

We review every application and may accept or decline it at our sole discretion, without giving a reason. We generally decline, and may later remove, Partners in these categories:

• coupon, deal, voucher, cashback, loyalty, or reward sites;
• link directories, mass affiliate listings, and sites with no original content;
• audiences made up mainly of homeowners rather than service contractors;
• audiences mainly outside the United States and Canada;
• businesses that compete with Deepsel, or people employed by or contracted to a competitor.

You must give accurate information in your application and keep it current, including your name, business name, email address, the websites and channels you will use, and your payout details.

4. Referral Links and Tracking

Your link. We give you a unique referral link (for example usedeepsel.com/?via=your-id). You may create additional links in your dashboard that point to any page on usedeepsel.com.

The referred-shop offer. A shop that signs up through your link gets an extra month free on top of the standard 14-day free trial, 44 days free in total. The offer is applied automatically when the shop arrives through your link; there is no code to enter.

Attribution: last click, 90 days. When a visitor clicks your link, a cookie is set for 90 days. If that visitor creates a Deepsel account while the cookie is active, the account is a "Referred Customer" of yours. If the visitor clicks a different Partner's link later, the later click wins. A click whose cookie has expired or been removed earns nothing.

New customers only. A Referred Customer must be a business that has not previously created a Deepsel account, started a trial, or been in contact with us about a subscription. Existing customers, trials, and leads are not eligible, even if they click your link later.

Manual attribution. Where tracking fails for a referral you can document (for example, a shop you introduced to us by email that then signed up directly), you may ask us to attribute it manually. We will consider such requests in good faith but are not obliged to grant them.

5. Commissions

5.1 Rate and window

You earn 30% of each payment a Referred Customer makes to Deepsel for a subscription to the Service during the 12 months following that customer's first paid invoice (the "Commission Window"). Plan upgrades within the window count in full. Payments after the window earn nothing.

5.2 Basis

Commission is calculated on the amount we actually receive, excluding sales taxes, and net of refunds, chargebacks, and credits.

5.3 Exclusions

No commission is earned on:

• payments that a Referred Customer's own clients (homeowners and other end customers) make through the Service's payment features, or any fees we charge on those payments;
• one-off setup, onboarding, consulting, or professional-services fees;
• amounts settled with promotional credit rather than money;
• any payment that is later refunded or charged back;
• referrals that breach section 8 (for example self-referrals).

5.4 First-shop bonus

We pay a one-time bonus of $100 when your first Referred Customer makes its first payment. The bonus follows the same hold, reversal, and payout rules as commissions. One bonus per Partner.

5.5 Hold and reversals

Each commission is pending for 30 days after the payment it relates to. It becomes approved if, at the end of the hold, the payment has not been refunded or disputed and you are not in breach of this Agreement. If a refund or chargeback happens after approval, we reverse the commission. If we have already paid it, we deduct it from your next payout; if there is no payout within 60 days, you agree to repay it within 14 days of our request.

5.6 Founding Partners and rate changes

The first 20 Partners we approve are Founding Partners. Their 30% rate stays in place for as long as they remain in the Program, even if we later change the standard rate for new Partners.

For all other Partners, if we change the commission rate we will give at least 30 days' notice by email. A rate change applies only to customers referred after it takes effect. We never reduce commissions already earned, and we never change the rate on a customer who is already inside their Commission Window.

5.7 Reporting

Your dashboard shows clicks, referrals, conversions, and commissions. Our records are final if there is a disagreement, but we will explain them if you ask.

6. Payouts and Tax Forms

Schedule and threshold. Within the first ten days of each month we pay all approved commissions if your balance is at least $25. Smaller balances roll over to the next month.

Method and currency. We pay in US dollars by PayPal to the email address in your dashboard, or by another payout method we make available. You are responsible for any fees your payout provider charges you and for keeping your payout details correct. Payouts sent to details you gave us are considered received.

Tax forms first. Before your first payout we need a completed IRS Form W-9 if you are a US person, or Form W-8BEN (individuals) or W-8BEN-E (entities) if you are not. We hold payouts until we have it. Where the law requires, we withhold tax and file information returns, for example Form 1099-NEC for US Partners paid $2,000 or more in a calendar year. You are responsible for all taxes on what we pay you.

Dormant accounts. If your account has produced no clicks or referrals for 12 months and your balance is below the payout threshold, we may close it, and the balance is forfeited.

Investigations. If we have reason to believe that referrals are not genuine or that this Agreement has been breached, we may hold payouts while we investigate and withhold any commissions we find were not earned.

7. What You Must Do

• Follow the law wherever you promote Deepsel, including the FTC Endorsement Guides (16 CFR Part 255), the FTC's rule on fake reviews (16 CFR Part 465), CAN-SPAM, the TCPA, Canada's CASL and Competition Act, and applicable privacy laws.
• Disclose. Wherever you place a link or recommend Deepsel, tell your audience clearly and up front that you earn a commission, following the Partner Disclosure Guide. "Affiliate link" on its own is not enough.
• Be accurate. Describe Deepsel truthfully. For pricing, trial length, guarantees, and features, use only the wording we supply, word for word, and update it within 7 days when we tell you it has changed.
• Stay on audience. Promote Deepsel to service contractors in the United States and Canada.
• Be reachable. Reply to our emails about compliance within 7 days.

8. What You Must Not Do

1. Bid on our brand. Do not run paid search or paid social ads on "Deepsel," "usedeepsel," "Deepsel HVAC," any Deepsel product name, or any misspelling or variation of these, alone or combined with other words. Do not use our names in ad copy or display URLs.
2. Run paid ads without approval. No paid advertising of any kind that sends traffic through your link, including search, social, display, sponsored posts on other sites, and paid newsletter placements, unless we have approved it in writing first.
3. Self-refer. No commissions for yourself, your business, your employees or contractors, your family, or any company you own, control, or work for. Such referrals earn nothing and are grounds for termination.
4. Use coupon or deal channels. No coupon, deal, voucher, cashback, loyalty, or reward sites, and no publishing of promotional codes. There are no Partner coupon codes; the referred-shop offer is applied automatically through your link.
5. Force or hide clicks. No cookie stuffing, iframes, pop-ups or pop-unders, automatic redirects, auto-loading of our site, browser extensions or toolbars, or anything else that sets the tracking cookie without the visitor deliberately clicking your link.
6. Impersonate us. No domain names, subdomains, social handles, email addresses, or page designs that could be mistaken for Deepsel's own, and no presenting yourself as Deepsel or as "official."
7. Spam. No unsolicited bulk email, texts, calls, or messages that break the law, and no messages that appear to come from Deepsel.
8. Mislead. No false or misleading statements, invented numbers, invented guarantees, or promises about features or pricing that we have not published.
9. Post fake or undisclosed reviews. Do not post reviews of Deepsel on G2, Capterra, Google, Reddit, or anywhere else unless you have genuinely used the Service, never from a demo or test account, and always disclosing that you are a paid Partner. Do not ask Referred Customers to post reviews in exchange for anything.
10. Pay your audience to click. No cash, credit, gifts, or other incentives for clicking your link or signing up, other than passing on the offer we provide.
11. Publish harmful content. Nothing unlawful, defamatory, obscene, discriminatory, or likely to damage our reputation, next to or in connection with your link.
12. Sub-license your link. Do not give your link to others to promote on your behalf or split commissions with third parties without our written consent.

9. Marketing Materials and Trademarks

We grant you a limited, non-exclusive, revocable, non-transferable, royalty-free licence to use the Deepsel name, logo, and the marketing materials we provide, only to promote Deepsel under this Agreement and only in the form we supply them. Do not alter them or combine them with other marks. If we ask you to change or remove a use, do so within 7 days.

You grant us a non-exclusive, royalty-free licence to use your name, business name, logo, and a link to your website to identify you as a Partner, for example on a partners page. Email us if you would rather not be listed.

Everything else about Deepsel, including the Service, our content, and our marks, remains ours. No other rights are granted.

10. Your Content, Your Audience, Our Customers

You are responsible for your website, channels, content, and audience. Referred Customers become Deepsel's customers under our Terms of Use; you cannot make commitments on our behalf, and you should send their support questions to us. Any non-public information we share with you (Program statistics, roadmap, unpublished pricing) is confidential until we publish it.

11. Independent Contractor

You are an independent contractor. Nothing in this Agreement creates an employment, agency, partnership, franchise, or joint-venture relationship between you and Deepsel; "Partner" is the name of the Program only. You have no authority to bind Deepsel, make offers, accept payments, or sign anything on our behalf. You publish your own recommendations on your own channels, at your own expense. You do not solicit customers on our behalf and do not maintain any office, inventory, or place of business for us in any state or province. If we ask, you will confirm this in writing once a year.

12. Monitoring and Enforcement

We review Partner content periodically; the FTC Endorsement Guides require us to. If we find a problem, such as a missing disclosure, an inaccurate claim, or a prohibited practice, we will email you what needs to change. Until it is fixed we may hold the commissions connected to that content. Serious or repeated problems lead to termination under section 13.

If a pattern of your referrals turns out to be refunded, charged back, fraudulent, or closed for abuse of the Service, we may reverse the commissions on those referrals and terminate your participation.

13. Term and Termination

This Agreement starts when we approve your application and continues until either of us ends it. You may leave at any time by emailing us or closing your account. We may end your participation at any time, with or without cause, by email to the address in your dashboard.

If the Agreement ends other than for your breach, we pay approved commissions on payments made before the termination date in the normal payout cycle, pending commissions complete their hold, and your links stop tracking. Payments made after the termination date earn nothing, even inside a Commission Window.

If we terminate for a breach of sections 7, 8, or 9, all unpaid commissions are forfeited, and we may recover commissions already paid on referrals connected to the breach.

Sections 5.5, 6 (tax and reversal obligations), 9 (as to removal of our marks), 10, 11, 15, 16, and 17 survive termination.

14. Changes to This Agreement

We may update this Agreement. We will post the new version at this address with a new version number and "Last updated" date, and email the address in your dashboard at least 14 days before a material change takes effect (30 days for a commission-rate change, as described in section 5.6). Continuing in the Program after the effective date means you accept the update. If you do not accept it, end your participation before that date. No change reduces commissions you have already earned.

15. Disclaimers, Liability, and Indemnity

The Program, the Service, the dashboard, and tracking are provided "as is" and "as available." We make no promise of uninterrupted tracking, of any particular level of referrals or earnings, or that the Service will continue in its current form or at its current prices.

To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, consequential, special, or punitive damages, or for lost profits or revenue, arising out of this Agreement. Our total liability to you under this Agreement is limited to the commissions payable to you in the six months before the claim arose.

You will defend, indemnify, and hold harmless Deepsel and its officers, employees, and contractors from any third-party claim, loss, or expense (including reasonable legal fees) arising from your content, your promotional activity, or your breach of this Agreement.

16. Governing Law and Disputes

This Agreement is governed by the laws of the State of Delaware, without regard to its conflict-of-law rules. If we have a dispute, we will each first try to resolve it informally by email for 30 days. Any dispute that is not resolved that way will be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted in English, in Delaware or online, on an individual basis only, with no class or representative proceedings. Either party may seek injunctive relief in court to protect its intellectual property or confidential information. Any court action permitted under this section must be brought in the state or federal courts located in Delaware, and both parties consent to their jurisdiction.

17. General

This Agreement, together with the Partner Disclosure Guide and our Privacy Policy, is the entire agreement between you and Deepsel about the Program, and replaces any earlier discussions. If any part is found unenforceable, the rest remains in effect. Our not enforcing a provision is not a waiver of it. We may assign this Agreement to a successor of our business; you may not assign it without our written consent. Notices to you go to the email address in your dashboard; notices to us go to support@usedeepsel.com. The English-language version of this Agreement controls.
